Terms of Service

Version 1.0, effective 22 October 2026

These terms are between Vedas AI Ltd, a company registered in England and Wales (company number 17532496), registered office 163 Herne Hill, London SE24 9LR ("Vedas", "we") and the accounting firm that uses Vedas ("the firm", "you"). A Partner of the firm accepts them for the firm. They apply to everyone the firm lets use Vedas.

Our Data Processing Agreement forms part of these terms. If they conflict about personal data, the DPA wins.

1. The service

Vedas works like a junior on your team. It prepares VAT returns, year-end accounts, Making Tax Digital quarterly updates and Self Assessment tax computations from the documents you upload, and asks your people about anything unclear. The Help pages describe what each job covers and what it doesn't.

Vedas uses AI models to read documents and draft work. Code computes every figure.

Vedas files nothing and sends nothing to HMRC or to your clients. It doesn't connect to banks or accounting software.

We may change and improve the service. We will not remove a main feature you rely on without telling you first.

2. Vedas is a tool. Your firm is responsible for the work

Vedas is a tool your firm uses to prepare work. What it prepares is a draft, never a final answer. Before your firm uses or files any output, a suitably qualified person at your firm must check it against the source documents and approve it. Marking a job final means your firm has done that.

We have no control over the documents your firm or its clients upload, or over the answers your people give to the questions and judgement calls Vedas raises. Vedas works from them as given, and doesn't check them against anything else. You're responsible for those documents being complete and accurate, for having the right to upload them, for the answers your people give, and for telling your clients how their data is used.

Your firm decides whether to file, and is responsible for every return, filing and piece of advice it gives its clients.

Vedas is not a firm of accountants or tax advisers. Nothing it produces is tax, accounting, legal or financial advice, and it does not replace your firm's professional judgement.

2A. AI output

Vedas uses AI, which can make mistakes, miss items or misread a document. We work to reduce this, but we don't promise that any output is complete or error-free.

3. Accounts and roles

Each firm has one account. Its people sign in with their own email addresses. Partners and Admins manage who has access and with which role: Partner, Admin, Accountant or Viewer.

You're responsible for what happens under your firm's account, for keeping your people's email accounts secure, and for removing people who leave. Tell us at once if you think someone has misused your account.

4. Fees

Running a job is free. You pay when you unlock a job's figures and pack: the fee shown in Vedas for that job, in credits from your firm's balance. Your firm's first job of each type unlocks free.

A Partner or Admin buys credits by card. A top-up's price is shown before you buy it. No VAT is charged while we're not registered for VAT. Credit we give free, such as during the beta, has no cash value.

We may refund a credit pack at our discretion. Ask us by email at hello@vedas.cloud. If we refund all or part of a pack, the matching share of its credits is removed from your balance, which may then fall below zero. If you want to close your firm's account, ask about a refund of unused credit before you close it.

Adding documents to a job, or changing an answer, after you've unlocked it re-runs the job for the fee Vedas shows before it re-runs.

A job you haven't unlocked costs nothing to cancel. A job you've unlocked is not refunded if you cancel it. Retrying a job that stopped with an error is free.

We may change fees. A change applies to jobs unlocked after it, never to jobs already unlocked.

Unused credit stays while your firm's account is open. It is lost if the account is closed after 6 months without use (section 10).

5. Acceptable use

You must not:

  • use Vedas for anything unlawful, or to process data you have no right to process;
  • upload malware, or try to get around our security, limits or the separation between firms;
  • try to copy, resell or rebuild Vedas, or reach it other than through the app;
  • upload special category data or criminal offence data unless a job needs it.

6. Confidentiality

Each of us keeps the other's confidential information confidential and uses it only for these terms. Your documents, figures and client details are your confidential information. This doesn't cover information that's public, already known, or required by law to be disclosed.

7. Intellectual property

Your documents and the outputs Vedas makes for you are yours, and you may use them freely. We own Vedas itself, its software and its help pages.

You give us the rights we need to process your documents to provide the service. We don't use your documents or outputs to train AI models.

We may use feedback you send to improve Vedas.

8. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

Vedas is provided "as is". To the extent the law allows, we give no promise that it will be error-free, complete or fit for your firm's particular needs.

We're not liable for any loss that arises from the documents uploaded to Vedas, from the answers your people give to its questions and judgement calls, or from a return, filing or advice your firm produced using Vedas. That includes penalties, interest and tax. Your firm checks and approves the work before it's used.

We're not liable for loss of profit, revenue, business, goodwill or data, or for indirect loss.

We're not liable for a security breach caused by events beyond our reasonable control, such as a criminal attack on our systems or our providers' systems, where we had the security measures in the DPA in place. We will still tell you about it and help you as the DPA sets out.

Otherwise, our total liability in any 12 months is limited to the fees your firm paid us in the 12 months before the claim. If your firm paid us nothing in that time, for example during the free beta, we have no liability beyond what the first paragraph of this section keeps.

8A. Claims from your clients

Your firm will cover our reasonable losses from a claim by a third party (such as one of your clients) that arises from your firm's use of Vedas, from documents you uploaded, or from advice or filings you made. This does not apply to the extent we caused the loss by our breach of these terms, our negligence or our fraud.

8B. Your records

You are responsible for keeping your own copies of your documents and outputs. See section 10 for what happens to your data when you leave.

9. Suspension and ending

You can stop using Vedas at any time, and ask us to close your firm's account by emailing us from a Partner's address.

We may suspend access if needed to protect the service or other firms, if fees are unpaid, or if these terms are seriously broken. We'll tell you why and restore access once it's fixed.

Either of us may end these terms with 30 days' notice, or at once if the other seriously breaks them and does not put it right within 14 days of being asked.

10. Your data when you leave

Before your account closes, download any packs and outputs you want to keep. After it closes, we delete your firm's data within 30 days, as the DPA sets out, except records the law requires us to keep, and the record of your acceptance of these terms.

If no one at your firm signs in or uses Vedas for 60 days, we delete your firm's documents and outputs. Your account and any unused credit stay. If no one signs in or uses Vedas for 6 months, we close your firm's account and delete all its data, and any unused credit is lost. We'll email your firm's Partners at least 14 days before either step, so you can sign in to stop it or download what you want to keep.

11. Changes to these terms

We'll give at least 30 days' notice of a change that affects your firm, by email or in Vedas. A new version of these terms or the DPA needs a Partner's acceptance before your firm can start new jobs or upload.

12. General

These terms, with the DPA, are the whole agreement about Vedas. Neither of us may transfer them without the other's agreement, except to a buyer of our business. If a part is invalid, the rest stands.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
